1. Scope
This Privacy Policy describes how Everly Labs LLC, doing business as Vigently ("Vigently," "we," "us," or "our"), collects, uses, and shares information in connection with the Vigently service (the "Service"). It applies to Company accounts, Users, and Vendors who interact with the Service, as well as visitors to our website.
This Privacy Policy does not apply to third-party websites or services that may be linked from the Service.
2. Information We Collect
We collect information in the categories described below: Account Information, Company Information, Vendor Information, Uploaded Documents (and information extracted from them), and Automatically Collected Information. Together with related account and usage information, this is referred to as "Customer Data" and "Uploaded Content" in our Terms of Service.
3. Account Information
When a User creates or accesses an account, we collect information such as name, email address, authentication identifiers, role, and account status. Authentication is managed by our authentication provider, described in Section 15.
4. Company Information
We collect information about the Company an account is associated with, such as company name, contact information, account information, and subscription information.
5. Vendor Information
Companies may provide us with information about their Vendors — for example, business name, contact name, email, phone number, and notes — in order to invite those Vendors to submit documentation. Companies are responsible for having a legitimate basis to provide this information and to request documentation from their Vendors, as described in our Terms of Service. Vendors may also provide information about themselves directly when responding to an invitation. Vendor information is provided to Vigently by the Company, or by the Vendor responding to that Company's request, and is processed on the Company's behalf. Vendors do not create accounts with Vigently. Questions about a Vendor's information should typically be directed to the Company that requested it; Vendors may also contact us directly using the information in Section 33.
6. Uploaded Documents
Vendors, Users, and Companies may upload documents to the Service ("Uploaded Content," as defined in our Terms of Service) — for example, certificates of insurance and related documentation. We use AI and other automated tools to extract structured information from Uploaded Content, which may include policy numbers, insurance carriers, effective and expiration dates, coverage types, coverage limits, certificate holder information, and document metadata.
Vigently processes documents as submitted and does not independently verify their authenticity, provenance, legal validity, or valid issuance. 7. Automatically Collected Information
When you use the Service, we may automatically collect technical information such as IP address, device and browser information, log data, timestamps, security event data, and product usage information.
8. Cookies
Vigently may use strictly necessary cookies, authentication and session technologies, preference or functional technologies, analytics cookies where enabled, and advertising cookies only if introduced in the future. The specific cookies and similar technologies in use may change as the Service evolves. Our Cookie Policy provides the current categories, purposes, and available controls.
9. Analytics
We may use product analytics tools to understand how the Service is used, improve functionality, diagnose issues, and measure product performance. Providers used for analytics, if any, will be identified in our current Subprocessor List.
10. Advertising Technologies
We do not currently use advertising or retargeting pixels in the Service or website. If we introduce advertising, retargeting, or similar marketing technologies in the future, we will update this Privacy Policy and our Cookie Policy as appropriate.
11. How We Use Information
We use the information described above to: provide and operate the Service; process and evaluate documents; generate documentation statuses, alerts, and reports; manage accounts, subscriptions, and billing; communicate with you about the Service; provide customer support; maintain the security and integrity of the Service; and comply with legal obligations.
12. AI Processing
Vigently uses AI, including services from third-party AI providers, to extract structured information from Uploaded Content and to support document evaluation. See our AI & Automated Processing Disclaimer for more detail on how this processing works and its limitations.
Third-party AI providers process information subject to the contractual terms and configurations applicable to Vigently's use of their services. We seek to use provider configurations and commercial arrangements appropriate for business data processing. Additional details about active AI providers may be reflected in our Subprocessor List.
13. Service Providers
We engage third-party service providers to support the operation of the Service. Their processing of information is governed by applicable agreements, their respective roles, and applicable law. The providers actually in use may change as the Service evolves. Our Subprocessor List is intended to reflect material providers used in production. Categories are described in Sections 14–20 below.
14. Payment Providers
Subscription payments may be processed by Stripe. Payment card information is submitted directly to Stripe and Vigently does not store full payment card numbers.
15. Authentication Providers
Vigently uses or may use Clerk to provide authentication and account identity services.
16. Hosting and Infrastructure
Hosting and infrastructure providers may include Vercel and Railway.
17. Storage and Database Providers
Infrastructure providers may include Cloudflare R2 for object storage, Neon for PostgreSQL database services, and Upstash for Redis-related infrastructure.
18. Email Providers
Email delivery may be provided through Resend or another comparable service provider.
19. AI Providers
AI processing providers may include OpenAI and Anthropic.
20. Analytics and Monitoring Providers
We may use analytics and monitoring providers to understand product usage and to detect and diagnose application errors. Analytics and monitoring providers, when enabled, will be identified in our Subprocessor List.
21. Legal Disclosure
We may disclose information if required to do so by law, or if we believe in good faith that disclosure is necessary to comply with a legal obligation, protect our rights or property, protect the safety of our users or the public, or investigate fraud or security issues.
22. Business Transfers
If Vigently is involved in a merger, acquisition, financing, or sale of assets, information may be transferred as part of that transaction. We will provide notice before information becomes subject to a different privacy policy.
23. Data Retention
We retain Customer Data and Uploaded Content while an account is active and generally for up to twelve (12) months following termination or cancellation to allow for export and potential reactivation. Certain information may be retained for longer where reasonably necessary to comply with legal obligations, resolve disputes, enforce agreements, maintain security records, prevent fraud, or complete ordinary backup-retention cycles.
24. Data Security
We use technical and organizational measures designed to protect information, which may include encryption in transit and at rest, access controls, tenant isolation, audit logging, and security monitoring. No method of transmission or storage is completely secure, and we cannot guarantee absolute security. See our Security & Trust Overview for more detail.
25. U.S. Processing
Vigently is based in the United States. Information may be processed and stored by Vigently and its service providers in the United States and in other locations where those providers operate infrastructure, subject to applicable law and contractual safeguards. Service-provider infrastructure locations may change over time as providers operate distributed cloud environments.
26. International Users
The Service is currently marketed primarily to businesses in the United States. If our international operations materially expand, we may update this Policy to address additional privacy or transfer requirements.
27. Privacy Rights
Depending on applicable law and your relationship with Vigently, you may have rights to request access to, correction of, or deletion of certain personal information, or to exercise other privacy rights provided by law. Requests may be submitted to legal@vigently.com. We may need to verify the identity or authority of the requester before acting on a request. Where information is processed primarily on behalf of a Company, we may refer a request to that Company or coordinate with it as appropriate.
28. California Privacy
California residents may have additional privacy rights under applicable California law where those laws apply to Vigently and the relevant processing activity. If Vigently becomes subject to additional California disclosure requirements, this Policy may be updated accordingly.
29. Children
The Service is not directed at, and is not intended for use by, anyone under 18 years of age. We do not knowingly collect personal information from children. If you believe a child has provided us with information, contact us and we will take appropriate steps to delete it.
30. Marketing Communications
We may send you transactional communications related to your use of the Service — such as invitations, document requests, expiration alerts, and billing notices — which are necessary for the Service and are not subject to opt-out while your account is active. We may also send marketing communications, such as product announcements and newsletters, which you may opt out of at any time using the unsubscribe link included in those communications or by contacting us.
31. Do Not Track / Global Privacy Controls
Our website does not currently respond to traditional "Do Not Track" browser signals. Where applicable law requires recognition of browser-based privacy preference signals, Vigently will implement appropriate controls as relevant technologies and marketing practices are introduced.
32. Changes
We may update this Privacy Policy from time to time. If we make material changes, we will provide reasonable notice, for example by email or an in-app notice, before the changes take effect. As Vigently develops, we may introduce or change analytics, monitoring, advertising, or similar technologies. When those changes materially affect our privacy practices, we will update this Policy, our Cookie Policy, or other applicable notices.
